General Terms and Conditions of Business of bb trading werbeartikel ag
bb trading werbeartikel ag sells advertising, decoration and printing material on behalf of Nobel Biocare Services AG.
General
Notwithstanding anything to the contrary agreed to in writing, these General Terms and Conditions of Business (hereinafter called “GTC”) shall regulate the contractual relationship between bb trading werbeartikel ag and the customer. The following General Terms and Conditions of Business, as well as the conditions provided in the current advertising material at the time of the order, shall apply exclusively to all our offers and deliveries. Any additional or differing condition issued by the customer shall only apply provided we have expressly approved them in writing. Our terms and conditions also apply if a customer's delivery is carried out unconditionally by us, even if we are informed of the existence of terms and conditions of sale, issued by the client, which are contrary to, or deviate from our own.
Prices
All our prices are stated in Euros, without value added tax. Shipping costs and credit card fees are not included in our prices and are invoiced separately. We reserve the right to adjust our prices, in particular when applicable to raw materials and resulting from foreign exchange rate fluctuations.
International Shipping
International customers must pay applicable sales tax, duty and Customs charges. Your local government determines duty and Customs charges, which varies by country. Duties, taxes and/or Customs fees will be an additional amount that will be collected upon delivery of your order. Unfortunately, we are unable to provide you with the exact amount you will be charged. Contact your local government for specific details.
Technical specifications
All information pertaining to weights, measurements, capacity, load capacity, etc., is not binding. We reserve the right to make changes with regard to form, color or material, as well as changes related to a technological development.
Orders
Orders are valid only if they are placed truthfully and thoroughly. The customer expressly accepts our GTCs upon the submission of his order. We shall not be under any obligation to accept or to execute an order.
Delivery dates
Delivery dates mentioned by us are non-binding. We reserve the right to carry out partial deliveries. Any circumstance which is beyond our control and which prevents or hampers a delivery, is considered as a case of force majeure, e.g. strikes, war, traffic disruptions, fire, shortage of raw materials, interruptions of operations, either our own or those of our suppliers, measures imposed by the authorities, etc. Such acts shall release us from the obligation of delivery, subsequent delivery and claims for compensation. Fixed deadlines shall apply only if we have explicitly confirmed them in writing.
Delivery
In principle, delivery shall take place ex warehouse and is made at the risk of the customer, as well as performed in accordance with the selected delivery method. The type of packaging can be chosen at our discretion. Partial deliveries are reserved and are discussed with the customer in advance. Transport and other packaging material are not taken back unless other contrary and legally enforceable provisions are applicable. The customer is responsible for the disposal of the packaging at his own expense.
Warranty
Property covered by warranty is limited to that which is expressly included and defined as such in the specifications. The warranty applies until the end of the warranty period at the latest. Our warranty applies only to the replacement value of the goods and shall not include any ancillary costs. There shall be no liability for consequential damage. We are also entitled to replacement delivery. The customer's rights to the warranty shall be exercised at the condition that the customer has duly respected his obligations relating to legal inspection and notification duties.
Payment
The transfer costs are to be paid by the expeditor.
Reservation of title
All goods delivered remain the property of bb trading werbeartikel ag until they have been paid in full.
Place of jurisdiction and governing law
The courts of Dietikon/ZH [ZH=Canton Zurich] in Switzerland shall have jurisdiction. These terms and conditions are governed by the Swiss Code of Obligations.
